This End User License Agreement (“Agreement”) is between you (“Licensee”) and SteelySystems LLC. It governs your use of any SteelySystems indicator, strategy, template, sound pack or other software (the “Software”). By installing or using the Software you accept this Agreement.
1. License grant
Subject to your compliance with this Agreement and payment in full, SteelySystems LLC grants you a non-exclusive, non-transferable, revocable license to use the Software for your own personal trading.
This is a per-user license. You may install and use the Software on any machine that you personally own or control — desktop, laptop, VPS — provided you are the only person using it. The license follows the person, not the machine. It does not extend to other traders, employees, business partners, or anyone else.
2. Restrictions
You may not:
- share, sell, rent, lease, sublicense, lend, gift or otherwise transfer the Software or your license key;
- publish, post or distribute the Software, in whole or in part, anywhere;
- copy, decompile, disassemble, reverse-engineer, deobfuscate or derive source code from the Software;
- circumvent, disable or tamper with licensing, activation or protection mechanisms;
- create derivative works, or incorporate the Software into another product;
- use the Software to operate a signal service, managed account, prop-firm seat pool, or any service that provides its output to third parties, without our prior written permission;
- remove or alter any copyright, trademark or attribution notice.
3. License keys
Your license key is confidential and personal to you. You are responsible for keeping it secure. Sharing a key — publicly or privately — is a material breach of this Agreement and may result in immediate termination without refund.
4. Delivery & system requirements
The Software is delivered digitally. After purchase you receive your license key and an install guide by email, normally within minutes.
The Software requires NinjaTrader 8 (version 8.1.x) and a market data connection that supports the instruments you chart. Some features require additional NinjaTrader data or add-ons; any such requirement is stated on the relevant product page. You are responsible for obtaining and maintaining a compatible NinjaTrader installation and data subscription.
5. Updates & support
Updates released during your license term are provided at no additional charge unless a product page states otherwise. Email support is provided on a reasonable-efforts basis for installation, activation and intended use. Support does not include custom development, strategy design, or personalized trading guidance.
We may discontinue or modify a product, or end support for an older NinjaTrader version, at any time.
6. Term & termination
This Agreement takes effect on first installation and continues until terminated. It terminates automatically if you breach any term. On termination you must stop using the Software and remove all copies from every machine.
Sections 2, 7, 8, 9, 10 and 11 survive termination.
7. Ownership
The Software is licensed, not sold. SteelySystems LLC and its licensors retain all right, title and interest in the Software, including all intellectual property rights. You receive only the rights expressly granted in Section 1.
8. Nature of the Software
The Software is an analytical and educational tool. Signals, arrows, alerts, scores, levels, panels and any other output are analytical aids only — not trade instructions, not advice, and not a recommendation to buy or sell. You alone decide whether to act, and you bear the entire risk of every decision.
Where this site displays charts, signals, arrows, alerts, or any illustration of how a tool would have behaved, those illustrations are hypothetical and the following disclaimer applies:
HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS, SOME OF WHICH ARE DESCRIBED BELOW. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN; IN FACT, THERE ARE FREQUENTLY SHARP DIFFERENCES BETWEEN HYPOTHETICAL PERFORMANCE RESULTS AND THE ACTUAL RESULTS SUBSEQUENTLY ACHIEVED BY ANY PARTICULAR TRADING PROGRAM. ONE OF THE LIMITATIONS OF HYPOTHETICAL PERFORMANCE RESULTS IS THAT THEY ARE GENERALLY PREPARED WITH THE BENEFIT OF HINDSIGHT. FOR EXAMPLE, THE ABILITY TO WITHSTAND LOSSES OR TO ADHERE TO A PARTICULAR TRADING PROGRAM IN SPITE OF TRADING LOSSES ARE MATERIAL POINTS WHICH CAN ALSO ADVERSELY AFFECT ACTUAL TRADING RESULTS. THERE ARE NUMEROUS OTHER FACTORS RELATED TO THE MARKETS IN GENERAL OR TO THE IMPLEMENTATION OF ANY SPECIFIC TRADING PROGRAM WHICH CANNOT BE FULLY ACCOUNTED FOR IN THE PREPARATION OF HYPOTHETICAL PERFORMANCE RESULTS AND ALL OF WHICH CAN ADVERSELY AFFECT ACTUAL TRADING RESULTS.
9. No warranty
The Software is provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. SteelySystems LLC does not warrant that the Software will be error-free or uninterrupted, that it will work with every NinjaTrader configuration, data feed or instrument, or that it will produce any particular outcome.
10. Limitation of liability
To the maximum extent permitted by law, SteelySystems LLC will not be liable for any trading losses, lost profits, lost data, business interruption, or any indirect, incidental, special, consequential or punitive damages arising from the Software, even if advised of the possibility. Total aggregate liability is limited to the amount you paid for the Software.
11. Governing law
This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and the courts of Colorado have exclusive jurisdiction.
